1. Acceptance of Terms
By accessing or using Chemspark ("the Service"), operated by Chemspark, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Definitions
- "Service" refers to the Chemspark platform and all related services
- "User" refers to any individual or entity using the Service
- "Subscription" refers to the paid access plan selected by the User
- "Content" refers to all data, documents, and information uploaded or created by Users
- "Organization" refers to the company or entity account under which Users operate
3. Description of Service
Chemspark provides a chemical management platform that enables organizations to manage Safety Data Sheets (SDS), conduct risk assessments, monitor regulatory compliance, and generate reports. The Service is provided on a subscription basis.
4. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities under your account
5. Subscriptions and Payment
5.1 Subscription Plans
The Service is offered on an annual subscription basis. Details of each plan, including features and usage limits, are available on our pricing page.
5.2 Payment Terms
Subscription fees are billed annually in advance. All fees are exclusive of applicable taxes unless stated otherwise. Subscriptions automatically renew unless cancelled before the renewal date.
5.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current annual billing period. No refunds are provided for partial periods or unused time remaining in the subscription term.
6. User Responsibilities
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Upload malicious software or harmful content
- Share account credentials with unauthorized parties
7. Intellectual Property
7.1 Our Property
The Service, including its design, features, and content (excluding User Content), is owned by Chemspark and protected by intellectual property laws.
7.2 Your Content
You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited license to store, process, and display it as necessary to provide the Service.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance and updates. We will endeavor to provide notice of significant planned downtime.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the preceding 12 months
- We do not guarantee the accuracy of AI-generated content or compliance suggestions
Important: The Service provides tools to assist with chemical safety management but does not replace professional judgment. Users remain responsible for compliance with applicable safety regulations.
10. Indemnification
You agree to indemnify and hold harmless Chemspark from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service:
- For violation of these Terms
- For non-payment of fees
- If required by law
- Upon your request
Upon termination, you may export your data for a limited period, after which we may delete it.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice within the Service. Continued use after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the Netherlands. For Users within the European Union, you may also benefit from any mandatory provisions of consumer protection law in your country of residence. Any disputes arising from these Terms shall be submitted to the competent courts of the Netherlands, without prejudice to mandatory applicable consumer protection rules that may entitle you to bring proceedings in the courts of your country of residence.
